Terms of Service

These Terms govern your use of EOModeller, a modelling tool operated by 1AV Ltd, a company registered in New Zealand ("we", "us", "1AV"). By creating an account or using EOModeller you accept these Terms.

1The service

EOModeller is a web-based modelling tool for architects and small teams. The service is delivered as software-as-a-service over the public internet and is hosted in Australia.

2Your account

You're responsible for:

• The accuracy of the information you provide at signup.
• Keeping your password (or single-sign-on credentials) confidential.
• All activity that happens under your account.

You must be at least 16 years old to create an account. You may not share your account credentials. If you suspect unauthorised use, contact us immediately.

3Acceptable use

You agree not to:

• Use EOModeller for anything unlawful, harmful, or abusive.
• Reverse-engineer, decompile, or attempt to extract source code.
• Probe, scan, or interfere with the service's infrastructure or other users' accounts.
• Use the service to store, process, or transmit content that infringes a third party's rights.
• Use the AI features for content prohibited by Anthropic's usage policies.

We may suspend or terminate accounts that breach this section.

4Subscription and billing

EOModeller offers two tiers: Free (no payment) and Pro ($19 USD/month, or $15 USD/month billed annually — $180 USD/year). Pricing and feature inclusions for each tier are published at eomodeller.com/#pricing and may change with reasonable notice.

All paid subscriptions are processed by Stripe. By upgrading to Pro you agree to Stripe's terms in addition to these. Stripe handles card collection, billing, dunning, taxation, and refunds; we do not see or store your full payment-card details.

Subscriptions auto-renew at the end of each billing period until you cancel. You can cancel at any time through the Stripe Customer Portal from your account settings.

514-day free trial of Pro

Every new account starts on a 14-day Pro trial. No card is required to start the trial. When the trial ends, the account moves to Free unless you've entered payment details during the trial period. Your work is not deleted when the trial ends.

6Cancellation, refunds, and downgrade

Cancellations take effect at the end of the current billing period. We do not offer pro-rata refunds for partial months or years; you retain Pro access until the end of the period you paid for.

If you downgrade or are downgraded to Free, your data is preserved. Models and diagrams above the Free-tier limits become read-only — they are not deleted. You may export them at any time. If your account stays continuously over-limit for 90 days, excess models are archived; archived models remain recoverable for a further 90 days before permanent deletion.

Refunds outside of these terms are at our discretion and not guaranteed.

7Your content

You retain all rights, title, and ownership of the models, diagrams, profiles, descriptions, and any other content you create or upload ("Your Content"). We do not claim ownership.

You grant 1AV a limited, non-exclusive licence to store, process, transmit, and display Your Content solely to operate the service and provide it to you. This licence ends when you delete the content or the account.

You're responsible for the legality of Your Content and for ensuring you have the right to upload anything you upload (third-party icons, diagrams, names, etc.).

8Our intellectual property

The EOModeller software, brand, documentation, website content, and all design assets are the intellectual property of 1AV Ltd or our licensors. You may not copy, modify, redistribute, or create derivative works of any of it, except for the limited purpose of using the service as a customer.

The cloud-provider icon sets (AWS, Azure, etc.) shipped with EOModeller are licensed from those providers under their public-use terms; your use of those icons in your diagrams is governed by the same provider terms.

9Service availability

We aim to keep EOModeller running smoothly but at this stage we do not offer a formal Service Level Agreement (SLA). The service is provided "as is" and may be unavailable from time to time due to maintenance, upgrades, or issues outside our control.

We make commercially reasonable efforts to back up data and avoid data loss, but we do not guarantee any specific level of durability. We recommend exporting important models periodically.

10Limitation of liability

To the maximum extent permitted by law:

• The service is provided without warranties of any kind, express or implied.
• We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, however caused.
• Our total aggregate liability for any claim arising under these Terms is limited to the amount you paid us in the twelve months immediately preceding the claim, or NZD $100, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including statutory consumer rights).

11Indemnification

You agree to indemnify and hold 1AV harmless from any third-party claim arising from Your Content or your breach of these Terms, including reasonable legal costs.

12Termination

You may close your account at any time from the account settings. Closing the account triggers data deletion on the timeline set out in our Privacy Policy.

We may suspend or terminate your account if you materially breach these Terms, use the service to harm others, or fail to pay outstanding invoices. We'll give reasonable notice except in the case of urgent safety or legal issues.

13Changes to these Terms

We may update these Terms from time to time. If changes are material we'll give you at least 30 days' notice by email or in-app banner. Continued use of the service after the effective date means you accept the updated Terms.

14Governing law and disputes

These Terms are governed by the laws of New Zealand. Any dispute arising under them is subject to the non-exclusive jurisdiction of the New Zealand courts. Before bringing legal action, please contact us so we can try to resolve the issue informally.
